These terms apply to the Optimum Clean website, the customer portal, and any order placed through it. Please read them. If you use the portal on behalf of a business, you are agreeing to them on that business's behalf.
1. Agreement
By using this website or the customer portal you agree to these Terms of Service. If you do not agree, do not use them. These terms sit alongside any separate service agreement you have with Optimum Clean; where a signed service agreement and these terms conflict, the signed agreement governs.
2. Who may use the portal
The customer portal is for established business customers of Optimum Clean. Accounts are created by us; there is no public sign-up. You must be authorised to act for the business named on the account.
3. Your account
- Keep your sign-in details confidential. Do not share them.
- You are responsible for activity carried out under your account.
- Tell us promptly at info@optimumclean.com if you believe someone else has gained access.
- We may suspend or close an account that is being misused, or where the business relationship has ended.
4. Acceptable use
You agree not to:
- attempt to access another customer's account, orders, or invoices;
- probe, scan, or interfere with the security of the site or its systems;
- use automated means to extract the product catalogue or pricing;
- submit orders you have no intention of accepting;
- use the site for any unlawful purpose.
5. Products, pricing, and availability
The catalogue shows the products we currently supply and the pricing that applies to your account. Prices are per case unless the listing says otherwise. Some items are priced on enquiry and cannot be ordered online.
Pricing is determined by us at the time an order is submitted, from our own records, and not from any figure displayed in your browser. We make every effort to keep the catalogue accurate, but pricing, availability, packaging, and case quantities can change, and we may correct obvious errors.
Where a product is offered in more than one option — a colour, a thickness, a size, a scent — you must select an option before the item can be added to your cart. Your selection forms part of your order.
6. Orders
An order submitted through the portal is a request to purchase. It is not accepted until we confirm it. We may decline or adjust an order, in whole or in part, where an item is unavailable, where a price was stated in error, or where the quantity is outside what we can supply.
The document you receive when you order is a pro-forma, not a bill. It confirms what you asked for and what it is expected to cost. It shows an amount due of $0.00 because no payment is owed on it. Your actual invoice is issued separately when your order ships.
Delivery timescales quoted in the portal or in confirmation emails are estimates in business days and are not guarantees. Any preferred delivery date you give is a request, and we will confirm the actual date with you.
7. Payment
No payment is taken through this website and we do not collect payment card details. Orders are supplied on the account terms already agreed between us, and invoiced separately. Invoices are payable according to those terms. We may suspend portal ordering on an account that is materially overdue.
8. Tax
Where an account is recorded with us as tax exempt, orders are processed on that basis and the documents will say so. It is your responsibility to keep your exemption status current with us and to tell us if it changes.
9. Our content
The website, the portal, and their content — including text, layout, graphics, and the Optimum Clean name and logo — belong to Optimum Clean or its licensors. You may use the portal for the purpose of doing business with us. You may not copy, republish, or reuse our content for any other purpose without our written permission.
Product names and brands in the catalogue belong to their respective owners and are used to identify the goods we supply.
10. Availability of the service
We aim to keep the portal available, but we do not guarantee uninterrupted access. We may suspend it for maintenance, updates, or reasons outside our control. If the portal is unavailable, you can place an order by emailing orders@optimumclean.com.
11. Disclaimers
The website and portal are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties not expressly stated here, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Cleaning and disinfection products supplied through the catalogue must be used according to their manufacturer's instructions and label directions. Nothing on this website is a substitute for those instructions.
12. Limitation of liability
To the fullest extent permitted by law, Optimum Clean is not liable for indirect, incidental, special, or consequential losses, or for lost profits, arising out of your use of the website or portal.
Our total liability arising out of or relating to any order placed through the portal will not exceed the amount payable for that order. Nothing in these terms limits liability that cannot lawfully be limited.
13. Indemnity
You agree to indemnify Optimum Clean against claims, losses, and reasonable costs arising from your misuse of the website or portal, or from your breach of these terms.
14. Privacy
Our Privacy Policy explains what information we collect and how we handle it, including how our ordering system connects to our own QuickBooks Online accounting company. It forms part of these terms.
15. Changes
We may update these terms. The revised version will be posted here with a new effective date, and material changes affecting portal customers will also be sent by email. Continuing to use the portal after a change means you accept the updated terms.
16. Governing law
These terms are governed by the laws of the State of New Jersey, without regard to its conflict of laws rules. Any dispute will be brought in the state or federal courts located in New Jersey, and both parties consent to that jurisdiction.
17. General
If any provision of these terms is held unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver of it. These terms, together with any signed service agreement, are the entire agreement between us regarding the website and portal.
